1. GENERAL PROVISIONS
1.1 TPS (office) central email address: info@tps-register.com; Hereafter, the term 'service provider' refers to the entity operating the database.
1.2 These General Terms and Conditions (hereinafter “Terms and Conditions”) contain the general terms and conditions for the use of the service provider’s prepaid service in accordance with Section 1.5 of these Terms and Conditions as well as the rights and obligations arising from the conclusion of the contract between the parties when using the prepaid service. These General Terms and Conditions apply to both the service provider and the customers who enter into a contract with the service provider for the use of the prepaid service provided by the service provider. The legal relationship between service provider and customer is not subject to the general terms and conditions or similar documents of the customer of a service provider. The service provider makes the General Terms and Conditions available to the customer so that the customer can print them out.
1.3 Customer is the legal or natural person who pays the service provider the service fee for access to the prepaid service in accordance with Section 1.5 of these General Terms and Conditions (hereinafter referred to as customer).
1.4 A database is an integrated information system operated by the service provider that provides information from national, EU and international registers that is otherwise not accessible to the public. It is available to the customer after payment of the service fee for access to the prepaid service in accordance with Section 1.5 of the General Terms and Conditions. The information system includes the publication of customer-specific data on the service provider's platform.
1.5 The Service Fee is the fee payable to the Service Provider for access to the Prepaid Service, which the Customer pays to the Service Provider in advance in accordance with the Service Provider's respective offer (hereinafter referred to as the Service Fee).
1.6 The General Terms and Conditions come into force upon conclusion of the contract through the provision of the prepaid service between the service provider and the customer.
1.7 The service provider is entitled to unilaterally change the General Terms and Conditions provided that it informs the customer in writing before these changes take effect
2. WITHDRAWAL OF THE CUSTOMER FROM THE OFFER AND THE ORDER
2.1 An agreement for the provision of the prepaid service may be concluded between the Service Provider and the Customer if the Customer has paid the service fee specified in the current offer of the Service.
2.2 The customer can withdraw from the contract without giving reasons within 7 days of concluding the contract for the provision of the prepaid service. The effective date of the contract for the provision of the prepaid service begins once the signed contract is received.
3. GENERAL PAYMENT TERMS
3.1 The service provider provides the prepaid service to the customer against payment of the service fee in accordance with its current offer.
3.2 The Customer must pay the Service Fee by bank transfer to the bank account specified by the Service Provider. Payments are only considered to have been made when the respective gross amount is credited to the service provider's bank account.
4. DISCLAIMER AND MISCELLANEOUS TERMS
4.1 The service provider uses the contents of the national, EU and international registers “as is” to compile the database and assumes no liability for the accuracy and completeness of the information contained in these registers.
4.2 The service provider is not liable for any direct or indirect damages, loss of profits, business losses, loss of business opportunities or cessation of business development resulting from access to the use or non-use of tps-register.com, even if the service provider could have known of the possibility of such damage or loss, except as expressly provided for by law.
5. TERMINATION AND CANCELLATION
5.1 The contract for the provision of the prepaid service ends automatically at the end of the fixed term of one year and cannot be terminated by ordinary notice.
5.2 Each of the parties is entitled to terminate the contract for the provision of the prepaid service with immediate effect in the event of a breach by the other party. Before the immediate termination of the contract for the provision of the prepaid service, the contractual partner is obliged to set the other contractual partner a reasonable deadline to correct the defects that caused the termination (to the extent possible). A reason for termination is any circumstance that makes further cooperation with the other contracting party unreasonable.
6. APPLICABLE LAW, DISPUTES
6.1 These General Terms and Conditions and the individual contracts are subject to Swiss law.
6.2 The parties will attempt to resolve disputed issues in connection with these General Terms and Conditions or the contract for the provision of the prepaid service through negotiations, initially out of court. If these negotiations are unsuccessful, the parties can turn to the competent Swiss court.
